Everyone is invited to attend a general meeting of LMKC which will be held in the Kilmelford and Kilninver Village Hall on Thursday 24 April 2025 at 7 pm. I apologise for the formality of this, it's a legal requirement, and this notice explains the reasons behind it.
One of the reasons for setting up LMKC was to have a body that will be able to buy and own land on behalf of our community. The Scottish Parliament has passed various laws to help community bodies such as ours be successful in acquiring land. We aim to be able to take advantage of these laws if this is required in the future. One of the first steps is to meet the requirements of the Scottish Government to be a suitable body to register an interest in land.
When I contacted the Scottish Government about this I was told that, in order to comply, we require to change our articles of association (our governing documents) to clarify a number of (mainly somewhat technical) issues. The LMKC Board have considered these changes and we agree that the changes are beneficial. We are happy to recommend to the members that the changes should be made.
To formally change the articles of association, we require to notify all members and hold a short general meeting of the company to pass a special resolution to this effect. We are happy to take questions on the changes either before or at the meeting. The members present at the meeting will vote on the special resolution and provided the vote in favour is 75% of those members present (and any proxy votes), it will be passed.
We may then proceed to the next stage in the process.
